1. AGREEMENT TO TERMS

These Terms of Use ("Terms") constitute a legally binding agreement between you ("User," "you," or "your") and Aseryx ("Aseryx," "we," "us," or "our") governing your access to and use of the Aseryx website, platform, and related services (collectively, the "Services"). By accessing or using our Services at https://aseryx.xyz/ or any associated website, you agree to be bound by these Terms and our Privacy Policy. If you do not agree with any part of these Terms, you must not access or use our Services.

2. DESCRIPTION OF SERVICES

Aseryx operates a verified data marketplace that enables institutions to monetize proprietary datasets without surrendering custody. Our Services utilize zero-knowledge proof technology to verify data quality and provide cryptographic verification for AI training and healthcare research purposes. The Services are currently in beta and accessible by invitation only.

3. ELIGIBILITY

By using our Services, you represent and warrant that:
  • You are at least 18 years of age
  • You have the legal authority to enter into this agreement
  • You are authorized to act on behalf of any entity you represent
  • Your use of the Services complies with all applicable laws and regulations

4. USER ACCOUNTS AND ACCESS

4.1 Account Registration. Access to certain features of the Services requires registration. You agree to provide accurate, current, and complete information during registration and to update such information as needed.

4.2 Account Security. You are responsible for safeguarding your account credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use.

4.3 Beta Access. During the beta period, access to the Services is limited and may be granted or revoked at our sole discretion.

5. DATA PARTNER TERMS

5.1 Data Partner Program. If you participate as a data partner, you retain custody of your proprietary datasets while Aseryx provides cryptographic verification, access control, and payment infrastructure.

5.2 Revenue Share. Data partners receive 80-85% of licensing revenue generated from their datasets, as specified in separate partnership agreements.

5.3 Data Representations. You represent and warrant that:
  • You have all necessary rights and permissions to monetize the datasets you submit
  • Your datasets comply with applicable laws including GDPR, HIPAA, and the EU AI Act
  • Your datasets do not infringe any third-party intellectual property rights
  • You have obtained all necessary consents from data subjects where required

6. DATA BUYER TERMS

6.1 Access to Datasets. Data buyers may access pre-verified enterprise datasets across finance, healthcare, and industrial sectors through our marketplace.

6.2 Permitted Use. Datasets accessed through the Services may only be used for:
  • AI model training and development
  • Healthcare research purposes
  • Financial analysis and research
  • Other purposes explicitly permitted in your license agreement

6.3 Restrictions. You may not:
  • Attempt to re-identify anonymized data
  • Resell, redistribute, or sublicense datasets without explicit authorization
  • Use datasets for any unlawful or discriminatory purposes
  • Reverse engineer or attempt to extract underlying raw data beyond licensed scope

7. INTELLECTUAL PROPERTY

7.1 Our Property. The Services, including all content, features, functionality, design, layout, look, appearance, graphics, and zero-knowledge proof protocols, are owned by or licensed to Aseryx and are protected by copyright, trademark, and other intellectual property laws.

7.2 Limited License. Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for their intended purpose.

7.3 Trademarks. Aseryx and related marks are trademarks of Aseryx. You may not use these marks without prior written consent.

8. ZERO-KNOWLEDGE PROOF VERIFICATION

8.1 Verification Process. Aseryx uses zero-knowledge proof technology to verify data quality without accessing the underlying data. You acknowledge that:
  • Verification results are mathematical proofs of data characteristics
  • We do not take custody of your raw data during verification
  • The accuracy of verification depends on the correctness of parameters you provide

8.2 No Warranty. While we employ rigorous cryptographic methods, we do not guarantee that verification results are error-free or suitable for any particular purpose.

9. PROHIBITED CONDUCT

You agree not to:
  • Use the Services for any illegal purpose or in violation of any laws
  • Attempt to gain unauthorized access to our systems or user data
  • Interfere with or disrupt the Services or servers
  • Use automated systems (bots, scrapers) without permission
  • Impersonate any person or entity
  • Transmit malicious code or viruses

10. DISCLAIMER OF WARRANTIES

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY. WE DO NOT WARRANT THAT:
  • THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE
  • VERIFICATION RESULTS WILL BE COMPLETE OR ACCURATE
  • THE SERVICES WILL MEET YOUR SPECIFIC REQUIREMENTS

YOUR USE OF THE SERVICES IS ENTIRELY AT YOUR OWN RISK.

11. LIMITATION OF LIABILITY

TO THE MAXIMUM EXTENT PERMITTED BY LAW, ASERYX SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR REVENUE ARISING FROM YOUR USE OF THE SERVICES. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO ASERYX IN THE SIX (6) MONTHS PRECEDING THE CLAIM.

12. INDEMNIFICATION

You agree to indemnify, defend, and hold harmless Aseryx from any claims, damages, losses, or expenses arising from:
  • Your use of the Services
  • Your violation of these Terms
  • Your infringement of any third-party rights
  • Your datasets or use of licensed datasets

13. COMPLIANCE WITH LAWS

13.1 Regulatory Compliance. The Services are designed to support compliance with GDPR, HIPAA, the EU AI Act, and other applicable regulations. However, you are responsible for ensuring your specific use case complies with all applicable laws.

13.2 Export Controls. You agree to comply with all applicable export control laws and regulations.

14. THIRD-PARTY LINKS

The Services may contain links to third-party websites or services. We do not endorse and are not responsible for the content, privacy policies, or practices of third-party sites. Access is at your own risk.

15. MODIFICATIONS TO SERVICES

We reserve the right to modify, suspend, or discontinue any part of the Services at any time without notice. We are not liable for any modification, suspension, or discontinuation.

16. TERM AND TERMINATION

16.1 Term. These Terms remain in effect as long as you use the Services.

16.2 Termination. We may terminate or suspend your access at any time, with or without cause, with or without notice.

16.3 Effect of Termination. Upon termination, your right to use the Services ceases immediately. Provisions that by their nature should survive shall survive.

17. GOVERNING LAW AND DISPUTE RESOLUTION

17.1 Governing Law. These Terms shall be governed by the laws of the United States of America, without regard to conflict of law principles.

17.2 Dispute Resolution. Any disputes shall be resolved through good faith negotiation. If negotiation fails, disputes shall be resolved through binding arbitration in accordance with applicable arbitration rules.

17.3 Class Action Waiver. You waive any right to participate in class actions.

18. CHANGES TO TERMS

We may update these Terms at any time. We will notify you of material changes by posting the updated Terms on our website and updating the "Last Updated" date. Your continued use after changes constitutes acceptance.

19. MISCELLANEOUS

19.1 Entire Agreement. These Terms, together with our Privacy Policy, constitute the entire agreement between you and Aseryx.

19.2 Severability. If any provision is found unenforceable, the remaining provisions remain in effect.

19.3 Waiver. Our failure to enforce any right is not a waiver of that right.

19.4 Assignment. You may not assign your rights under these Terms without our prior written consent.
